Rebrand your company the right way

Change Company Name in Ireland approval, filing and the new certificate

A rebrand, a merger or a fresh start: there are plenty of good reasons to change a company’s name. The process is simple once you know it. You pass a special resolution, the CRO approves the new name, and you receive a new certificate. We handle every step and make sure your new name is accepted first time.

The new name only takes effect on the date shown on your new certificate.

The process

Five steps to a new company name

Check the name

It must be available and meet the CRO’s rules.

Pass a special resolution

Members approve the change, by a 75% majority.

Amend the constitution

The new name goes on the front of the constitution.

File Form G1Q

With the filing fee, for the Registrar’s approval.

Receive your certificate

Then, and only then, start using the new name.

Don’t jump the gun. The company may not use the new name until the certificate of change of name has been issued. Wait for it before you reprint anything.
Rules and costs

What the CRO looks at

The rules

  • The change needs a special resolution and the Registrar’s written approval
  • The new name must carry the right ending, such as Limited, Teoranta or DAC
  • Names that are too similar to existing ones, or that need approval, can be refused
  • A company on a strike-off list won’t get approval until it has filed its overdue returns

The official fee

  • Form G1Q with the amended constitution: €50 filed online, or €100 on paper
  • You’ll receive a new certificate of incorporation on change of name
  • Our own fee for the resolution, constitution and filing is quoted before we start

Quick answers

Company name change questions

Does my company registration number change?
No. The company is the same legal entity, so contracts, assets and tax registrations carry across. Only the name changes.
Who has to approve the change?
The members, by special resolution (a 75% majority), and then the Registrar of Companies. We prepare the resolution so it’s valid.
Can I trade under a different name without changing the company name?
Yes, by registering a business name. That’s a separate registration and the company’s legal name stays the same.
How long does it take?
Often a few weeks from the resolution to the new certificate, depending on CRO processing. A name that’s too similar to an existing one will slow things down, which is why we check first.
